  FMHC MEMBERS:



  If you will be attending the special meeting at noon today--which is
described below--could you please bring a copy of this e-mail which contains
the proposed adendment to the bylaws.  As Dan has explained below, the IRS
folks are requiring us to adopt this admendment as part of our 501(c) (3)
application.  Thank you.



  Also, if anyone would like to make any comments or suggestions regarding
the grant request to Bremer--which was mailed out earlier--perhaps, if it is
okay with Mike and Sue, we could discuss those after the conclusion of the
official meeting which should be very brief.





  A special meeting of The Fargo Moorhead Coalition for Homeless Persons,
Incorporated is scheduled on Wednesday, February 28 at noon in the boardroom
at the Fargo Housing and Redevelopment Authority (325 Broadway, downstairs).
The purpose of this special meeting is to vote on a dissolution clause for
the FMCHP, which is a requirement for organizations wishing to acquire 501c3
status from the IRS.  The proposed dissolution clause is attached below.
The reason for this special meeting is that our bylaws require that any
proposed changes to the bylaws be presented to the membership 15 days before
an official vote (Article IX is also referenced below).



  Proposed amendment to the bylaws

    1.. The Fargo Moorhead Coalition for Homeless Persons, Incorporated is
organization is organized exclusively for charitable and educational
purposes, including, for such purposes, the making of distributions to
organizations that qualify as exempt organizations under section 501(c) (3)
of the Internal Revenue Code, or corresponding section of any future federal
tax code.
    2.. Upon the dissolution of The Fargo Moorhead Coalition for Homeless
Persons, Incorporated, assets shall be distributed for one or more exempt
purposes within the meaning of section 501(c) (3) of the Internal Revenue
Code, or corresponding section of any future federal tax code, or shall be
distributed to the federal government, or to a state or local government,
for a public purpose. Any such assets not disposed of shall be disposed of
by the Court of Common Pleas of the county in which the principal office of
the organization is then located, exclusively for such purposes or to such
organization or organizations, as said Court shall determine, which are
organized and operated exclusively for such purposes.












  Article IX: Amendment of Bylaws (amendments require a 15 day notice to the
membership)

  These Bylaws may be amended with approval of a majority of those members
present at the meeting in which the vote occurs. In any case of proposed
amendment the change proposed shall be submitted to the full membership not
less than fifteen (15) days prior to the meeting in which the amendment is
to be considered.
